Welcome to the End Crowd! We are a community that believes in freedom for everyone. We believe that modern day slavery is a multifaceted problem that deserves multifaceted, out-of-the-box solutions. Each dollar given on End Crowd goes to organizations working on the ground to combat slavery and human trafficking. End Crowd is a project of Audacity Factory, a nonprofit organization focused on creating sustainable, effective solutions to underserved global and domestic problems.

These terms and conditions (“Terms”) govern the relationship between End Crowd (“End Crowd”, “we”, or “our”) and you when you use the End Crowd website, www.endcrowd.org (“Site”) and any and all Services available on or through the Site or otherwise provided by End Crowd, including any widget provided by End Crowd (collectively, the “Services”). By using or accessing the Site, Services or a widget, whether manually or through automated means, you agree to these Terms. These Terms apply to you if you are a fundraiser, nonprofit, donor, event organizer, event registrant or any other user of the Site and/or Services (collectively, “users” or “you”). If you choose to not accept these Terms, you will not be able to use the End Crowd Site or the Services. If you have any questions, contact us. We’re here to help!

To be eligible to use the Services and access the Site, you must: (1) be at least 18 (or between the ages of 13 and 17 and using the Site and Services with parental or legal guardian consent and supervision); (2) be registered with us (to the extent required) and not have been previously restricted, suspended or terminated by us; and (3) not be using another member’s account without her/his permission.  Any use or access of the Site from users under the age of 13 is strictly prohibited, and End Crowd will terminate the account of any such users. End Crowd will also attempt to remove any content from the Site that may have been contributed from users under the age of 13. 

THE TERMS OF USE REQUIRE THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS, AND ALSO LIMIT THE REMEDIES AVAILABLE TO YOU IN THE EVENT OF A DISPUTE.

We reserve the right to restrict any organization, entity, or individual from using our Site for improper purposes, and we may encourage organizations that we believe share our goals to use our Site to connect with donors. We are providing a secure technological platform for these groups to connect with donors.

acceptance of terms

The Terms are considered accepted and in effect on the first day of your use of the Site. Continued use of the Site constitutes acceptance of any modified Terms. Any changes to the Terms will be effective upon posting.

You acknowledge and agree that you shall have no ownership or other property interest in your account and/or username, and you further acknowledge and agree that all rights in and to your username and account are and shall forever be owned by End Crowd. You hereby expressly permit End Crowd to identify you by your username (which may be a pseudonym). We reserve the right to refuse to grant you access with a login that is trademarked or inappropriate, as determined by the sole discretion of End Crowd.

End Crowd assumes no liability for any loss or damage arising from any unauthorized use of your password or account by a third party. End Crowd has the right to reclaim any usernames or URLs for any reason.

You are responsible for all activities occurring under your email address and/or username. You agree that if you become aware of any unauthorized use of your password or other security breach, you will notify us immediately by emailing info@endcrowd.org.

Any attempt to access restricted areas without authorization is prohibited.

Once you create an account with End Crowd, we may send the following to your email:

Changes to Terms of Service, Privacy Policy, or other End Crowd services

Information regarding your transactions with End Crowd (including assistance you may request)

Email notifications

Newsletters (of which you may unsubscribe)

Updates on the projects to which you have donated

Information about new projects that may be of interest to you

If you choose to create an End Crowd account, you will be asked to create an account username and to provide an email address and password. We will ask you to provide certain personal information (first and last name, email address, etc.) in creating your user profile. Once created, the user profile will be viewable by the general public. (You may, however, disable this option at any time via your profile settings). Please read our Privacy Policy for additional information.

In order to create an account, you agree:

You have legal authority to represent an entity or organization if you seek to create an account on behalf of that entity or organization

To only create an account for yourself (or for a user for whom you are a parent or guardian if you are creating an account for a user between the ages of 13 and 17)

To provide accurate information as prompted on the Site or through the Services

To maintain and update personal information to keep it accurate

If you provide any information that is inaccurate, or End Crowd believes that any information is inaccurate, End Crowd may suspend or terminate your use of the Services and/or the Site and/or deny you continued or future use of the Site and/or the Services.

End Crowd is able to communicate with you digitally to notify you of changes to the Terms, Privacy Policy, or other Services.

By selecting a username, you agree that you will not use that name to:

Impersonate another individual

Infringe upon or violate the rights of any person (including intellectual property rights)

An account or username may be suspended, terminated, and/or removed by End Crowd in its sole discretion, with or without notice, if any content is deemed offensive or inappropriate or for any other reason.

terms and termination

These Terms will commence on the first day of your use of the Site until terminated. End Crowd may terminate your access to the Site or Service, without cause or notice, which may result in the forfeiture and destruction of all information associated with your account. You may terminate your account by emailing info@endcrowd.org. Any fees paid to End Crowd are non-refundable. Upon termination or expiration of these Terms, your obligations and our proprietary rights, disclaimer of warranties, indemnities, limitations of liability and miscellaneous provisions survive, but your right to use the Site immediately ceases.

End Crowd reserves the right, in its sole discretion, to immediately, with or without cause or notice, suspend or terminate these Terms of Use, and/or your access to all or a portion of the Site and/or remove any registration information or user content from the Site. End Crowd also reserves the right to change the Site without cause or notice.

privacy

In addition to reviewing these Terms, you should also read our Privacy Policy to better understand how we collect and use your personal information. You agree to the Privacy Policy by using the Site and/or Services.

relationship to end crowd

By using this Site you understand and agree that End Crowd shall not be responsible for any losses or damages incurred as a result of the campaigns or your use of the Site. In the event of a dispute between users (including but not limited to fundraisers, donors, beneficiaries, and third parties), you hereby release End Crowd, its employees, agents, affiliates, directors, officers, representatives, subcontractors, advisors and volunteers from all claims, damages and demands that may or may not be known, suspected or related to such disputes about our service.

donations

Donations on the Site are processed through Kindful, which uses Stripe and PayPal to process credit card payments.  End Crowd is not responsible for the performance of Kindful, Stripe, or PayPal.

fees and refunds

When a donation is made through End Crowd, there is a 3% credit card processing fee imposed by our payment processors, Stripe and PayPal.

All issues concerning chargebacks and refunds shall be addressed by the applicable payment processor and not by End Crowd.

These Terms constitute the entire agreement between the parties with respect to all of the matters herein and supersedes all other agreements, understandings, and discussions of the parties. If any provision of these Terms shall be held to be unlawful, void, or unenforceable, then that provision shall be deemed severable from these Terms and will be deleted and replaced by a valid and enforceable provision which achieves, as far as possible, the same objectives as the severed provision was intended to achieve. The remaining provisions of these Terms shall continue in full force and effect. No waiver or forbearance to seek a remedy by any party of any breach by any other party of any of its covenants, obligations and agreements hereunder shall be a waiver of any subsequent breach of any other covenant, obligation or agreement.

You may not assign, sublicense or otherwise transfer any right or obligation set forth herein without End Crowd’s prior written consent. Any purported assignment in violation of the preceding sentence is void and of no effect. These Terms are binding upon the parties’ respective successors and permitted assigns.

These Terms shall be governed by the laws of the State of North Carolina without regard to its conflict of law provisions. Any disputes arising under or related in any way to these Terms or the End Crowd Site shall be litigated or otherwise heard in the state or federal courts located in North Carolina and the parties hereto hereby consent to the exclusive jurisdiction of such courts.

End Crowd may assign any of its rights or obligations under these Terms to another party without notice or consent for any reason.

general terms

The Site and Services and all technology underlying the same are expressly owned and operated by End Crowd or its affiliates, if any, or are licensed by End Crowd from third parties. Unless otherwise noted, the design and content features on the Site and Services, (collectively, the “Site Information”) are owned by End Crowd or its affiliates, if any, or are licensed by End Crowd from third parties. The Site and Services, as a whole and in part, are protected by copyright, trademark, service mark, trade name, and other intellectual property and proprietary rights, and all other applicable rights are reserved.

Any trademarks, logos, and service marks (“Marks”) displayed on the Site are registered trademarks of their respective owners. Use of the Marks is prohibited without End Crowd’s express written consent. You hereby agree that you will not remove any copyright, trademark or other intellectual property or proprietary notice or legend contained on the Site, Services, or the Site Information.

No portion of the Site, Services or Site Information may be reprinted, republished, modified, or distributed in any form without End Crowd’s express written permission.

You hereby agree to use the Site and Services in compliance with all applicable laws.

You are not permitted to offer promotions for financial or other personal gain on End Crowd without our prior written consent. You may seek permission by sending an email to info@endcrowd.org.

You are solely responsible for any user-generated content (“Content”) you may submit while using Site and/or the Services. However, by submitting your User Generated Content to End Crowd, you hereby grant End Crowd a fully paid, royalty-free, perpetual, irrevocable, worldwide, royalty-free, non-exclusive and fully sublicensable right (including any moral rights) and license to use, license, distribute, reproduce, modify, adapt, publicly perform, publicly display, derive revenue or other remuneration from, and communicate to the public, your Content.

You agree that you will not use the Site and/or Services, or allow other to use the Site and/or Services to:

Infringes any patent, trademark, copyright, or other right protected by law or these Terms;

Engage in unlawful, threatening, abusive, offensive, or otherwise inappropriate activities of any kind;

Impersonate any person or entity, including any employee or representative of End Crowd;

Interfere with or disrupt the operation of the Site or any servers, equipment, hardware, or software used in connection with the Site;

Transfer or copy any protected material, content or information made available through any restricted portion of the Site to any non-restricted portion of the Site or to any public forum;

End Crowd shall have the right, but no obligation, to monitor Content and other features of the Site and Services to determine compliance with these Terms and any other operating rules we establish. End Crowd shall have the right in its sole discretion to edit, refuse to post or remove any material submitted to or posted through the Site or Services. We do not control any Content that you or other users may provide. End Crowd neither endorses nor is responsible for the accuracy or reliability of any Content.

Under no circumstances will End Crowd be liable for any loss or damage of any kind caused by reliance on information obtained through Content of the Site or Services. End Crowd is not responsible for any Content made through the Site or Services.

Due to security threats, no Internet transaction can be completely secure. End Crowd strives to keep all information on its Site secure, but cannot be held responsible for circumstances beyond its reasonable control. Should a breach of security occur, End Crowd will notify you via the email address connected to your account.

third party site links

The End Crowd Site and Services may contain links to third-party websites. End Crowd is not responsible for the content on third-party websites. You agree that you will use these links at your own risk, as End Crowd is not liable for any damages or loss of any kind resulting from the content on these other sites.

idemnification

You agree that you will hold harmless End Crowd, its agents and designees, and each company’s officers, directors, employees, members, managers, agents, contractors and volunteers (the “Releasees”) from all claims arising out of or related to your access or use of, or your inability to access or use, the Service, this Site or the information contained in this Site or other websites to which it is linked.

You agree to indemnify, defend, and hold harmless the Releasees from and against all losses, expenses, damages, and costs, including, but not limited to, reasonable attorneys’ fees, resulting from any violation by you of these Terms of Use or of any applicable law. End Crowd reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you.

THE SITE, THE SITE INFORMATION AND THE SERVICES ARE PROVIDED “AS IS,” AND TO THE FULL EXTENT PERMITTED BY APPLICABLE LAW, END CROWD, ITS AFFILIATES AND SUBSIDIARIES, IF ANY, AND ITS THIRD PARTY SERVICE PROVIDERS, SUPPLIERS AND VENDORS HEREBY EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES, EXPRESS AND IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF ACCURACY, COMPLETENESS OR RELIABILITY, TITLE, NONINFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR ANY OTHER WARRANTY, CONDITION, GUARANTEE OR REPRESENTATION, WHETHER ORAL, IN WRITING OR IN ELECTRONIC FORM. END CROWD, ITS AFFILIATES AND SUBSIDIARIES, IF ANY, AND ITS THIRD PARTY SERVICE PROVIDERS, SUPPLIERS, AND VENDORS DO NOT REPRESENT OR WARRANT THAT ACCESS TO THE SITE, THE SITE INFORMATION OR THE SERVICES WILL BE UNINTERRUPTED OR THAT THERE WILL BE NO FAILURES, ERRORS OR OMISSIONS, OR LOSS OR SECURITY BREACH OF TRANSMITTED INFORMATION, OR THAT NO VIRUSES WILL BE TRANSMITTED THROUGH ACCESS TO OR USE OF SITE, SERVICES OR SITE INFORMATION. limitation of liability

To the maximum extent permitted by applicable law, in no event shall End Crowd or its directors, employees, agents, partners, suppliers, or content providers, be liable to you under contract, tort, strict liability, negligence, or any other legal or equitable theory with respect to the service (i) for any lost profits, data loss, cost of procurement of substitute goods or services, or special, indirect, incidental, punitive, or consequential damages of any kind whatsoever, substitute goods or services (however arising), (ii) for any bugs, viruses, or the like (regardless of the source of origination), or (iii) for any direct damages in excess of (in the aggregate) one hundred U.S. dollars ($100.00). Some states or countries do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations and exclusions may not apply to you.

electronic communication and consent

By using the Site, Services, or emailing End Crowd, you agree to receive communications from End Crowd electronically. This means End Crowd may communicate with you by email or by posting notices on the Site. You agree that all communications that End Crowd provides to you electronically will satisfy any legal requirement that such communications be in writing. If you wish to terminate this agreement regarding the receipt of communications, you must cease use of the Site or Services and provide written notice to End Crowd.

governing law

You agree that these Terms, for all purposes, shall be governed and construed in accordance with the laws of the State of North Carolina and the United States of America, without giving effect to its conflicts of laws provisions. We may limit the Site’s availability, in whole or in part, to any person, geographic area or jurisdiction we choose, at any time and in our sole discretion.

international use

Access to the Site and Services from territories where the Site and/or Services are illegal is strictly prohibited. Users are responsible for complying with all local rules, laws, and regulations regarding their use of the Site and Services.

miscellaneous use

End Crowd will not be held liable to you for any failure to perform these Terms as a result of circumstances outside of our reasonable control. This includes, but is not limited to, communications failures, disasters, and/or degradation of resources.

If any one section of these Terms shall be unenforceable, the remaining sections will remain in effect. Additionally, if any of these sections are not enforced, it will not be considered a waiver from the enforcement of these Terms.

You will not assign, transfer, or sublicense any of your rights or responsibilities under these Terms to anyone without End Crowd’s prior written permission.

End Crowd may, at any time, assign our rights or delegate our obligations hereunder without notice to you in connection with a merger, acquisition, or sale of assets, or by operation of law or otherwise.

No agency, partnership, joint venture, or employment relationship is created as a result of these Terms and neither party has any authority of any kind to bind the other in any respect.

Nothing in these Terms shall prevent End Crowd from complying with the law.
